2.2 Exclusion of Other Terms

For the avoidance of doubt, the parties hereto agree that no terms or conditions endorsed on, delivered with, or contained in any purchase order, confirmation of order, specification, or other document sent by you to us shall form part of or be incorporated by reference into any contract or Agreement between you and us.

2.3 Variations

These terms and conditions apply to all our sales and any variation to these conditions and any representations about the Parts and/or the Software including all samples, drawings, descriptive matter, specifications, and advertising issued by us and any descriptions or illustration contained in our catalogues or brochures are issued or published for the sole purpose of giving an approximate idea of the Parts and/or Software described in them, and shall have no effect unless expressly agreed in writing and signed by us. For the avoidance of doubt, this is not a sale by sample. Nothing in this condition shall prevent us from using or limiting our liability for any fraudulent misrepresentation.

We shall not be liable for any breach of the warranty in Condition 5.2 unless:

  • You give written notice of the defect to us and, if the defect is as a result of damage in transit by the carrier, within 7 days of the time when you discover or ought to have discovered the defect, and
  • We are given a reasonable opportunity after receiving the notice of examining such Parts and/or Software, and you (if asked to do so by us) return such Parts and/or Software to our place of business at our cost for the examination to take place there or as designated by us.

5.4 Exclusions from Warranty

We shall not be liable for a breach of the warranty in Condition 5.2 if:

  • You make further use of the Parts and/or Software after giving such notice; or
  • The defect arises because you fail to follow our oral or written instructions as to the storage, installation, commissioning, use, or maintenance of the Parts and/or Software or (if there are none) good trade practice; or

6.3 Exclusions from Liability

Nothing in these conditions excludes or limits our liability:

  • For death or personal injury caused by our negligence; or
  • Under Section 2(3) of the Consumer Protection Act 1987, or
  • For any breach of Section 12 of the Sale of Goods Act 1979; or

  • For fraud or fraudulent misrepresentation.

Subject to Conditions 6.2 and 6.3:

Our total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution, or otherwise arising in connection with any violation of these Terms and Conditions shall be limited to the aggregate value of Orders raised by you in the preceding 12 months.

We shall not be liable to you for loss of profit, loss of business, or depletion of goodwill in each case, whether direct, indirect, or consequential, or any claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with a breach of these Terms and Conditions.

7. Force Majeure

7.1 Delay or Deferral

We reserve the right to defer the date of delivery if we are prevented from or delayed in the carrying on of our business due to circumstances beyond our reasonable control, including, without limitation, Acts of God, governmental actions, war or national emergency, acts of terrorism, protests, riot, civil commotion, fire, explosion, epidemic or pandemic, strikes or other labour disputes (whether or not relating to either party’s workforce), Government restrictions including lockdowns whether national or local, guidelines issued either locally or nationally, and/or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, provided that if the event in question continues for a continuous period in excess of 90 days, you shall be entitled to give notice in writing to us to terminate the Contract.

Failure by us in enforcing any of these terms or conditions shall not be construed as a waiver of any of our rights under these Terms and Conditions.

9.2 Subsequent Breach

Any waiver by us of breach or any default under any provision of these Terms and Conditions by us shall not be deemed a waiver of any subsequent breach or default.

9.3 Governing Law

The formation, existence, construction, performance, validity, and all aspects of the Terms and Conditions shall be governed by English law, and the parties submit to the exclusive jurisdiction of the English courts.

We do not represent that the operation of the Software will be uninterrupted or error-free or that any specific requirement that you may have informed us of will be met. You acknowledge that we may not be able to successfully diagnose or correct any faults or errors in the Software during the provision of the Services.
